ASHFORD BUS 670 Week 1 DQ 1 Constitutional and Legal Underpinnings of Business Law

Review the Constitution in Chapter 31 and  choose one of the following sections of the U.S. Constitution or a specified amendment to use as the basis for your initial response:
Any of Congress’s enumerated powers under Article I, Section 8
1st Amendment
4th Amendment
5th Amendment
14th Amendment

Identify the section of the Constitution or its amendment that you have chosen. Discuss how this section of the Constitution or its amendments both limit and protect business in general. Describe an example of how the section of the Constitution or its amendment that you have chosen could be applied to your professional life (past, present, or future). In your example, discuss whether the section of the Constitution you have chosen to address limits business or protects it.

Guided Response:
Respond to at least two of your fellow students’ posts in a substantive manner. Some ways to do this include the following, though you may choose a different approach, providing your response is substantive:

Review the initial posts made by your peers, and note whether the responses relied upon a different section of the Constitution or amendment than your response.

If your peer chose to focus on a different section of the Constitution or amendment than you did, discuss how that section of the Constitution relates to any example of a business situation from your professional life (past, present, or future).

If your peer chose to focus on the same section of the Constitution or amendment that you did, then compare and contrast the different applications of that section of the amendment to your respective examples from your own professional lives.

Suggest analytical differences that could lead to different outcomes. Point out ways in which the Constitution or its amendments might limit or protect business that your peer did not already identify.

ASHFORD BUS 670 Week 1 DQ 2 Ethics and Law

Use three philosophical theories from Chapter 4 to analyze whether it is more important for a business to be ethical or lawful. Provide one example of a situation in which it seems to be more important for a business to be ethical rather than lawful, and one example of a situation in which it seems more important for a business to be lawful rather than ethical.

Guided Response:
Respond to at least two of your fellow students’ posts in a substantive manner.

Apply a different ethical theory to the examples identified by your classmate. Discuss the difficulties faced by persons in the workplace who view business situations from different ethical perspectives. Suggest ways that those differences can be overcome while still ensuring the actions of the business are legal.

ASHFORD BUS 670 Week 1 Legal Underpinnings of Business Law

Imagine that you own each of the following businesses:

Tinker’s Home Security Service (sole proprietorship)

Tinker & Tailor’s Home Security Service (general partnership)

Tinker & Tailor’s Home Security Service (LP)

Tinker & Tailor’s Home Security Service, Inc. (corporation)

Tinker & Tailor’s Home Security Service, LLC (LLC)

a. The businesses are being sued for breach of contract. In a chart that does not exceed one-half of a page, compare and contrast your personal liability exposure as a result of the different lawsuits. In one paragraph, discuss how you might limit your liability exposure within each particular business organizational form.

b. After completing the first part of this exercise, describe one business that you may own some day or that you currently own. (Even if you never plan to own a business, pretend as if you will do so for the purposes of this assignment.) Identify the best business organizational form for the type of business that you have described, considering personal liability exposure as well as management, taxation, and ease of formation.

Breach of contract is when a business contract creates an obligation that is to be full filled by people or companies that enter into an agreement.   By law a party’s failure to complete the bargain which is under contract is known as a breach of contract. With regard to the specifics of the contract a breach can happen when a party fails to perform on time or does not perform at all according to the terms of the agreement. Breach of contract is categorized as material or immaterial to determine the appropriate legal solution or remedy for the breach (Retures 2012).

ASHFORD BUS 670 Week 2 DQ 1 Crimes That Harm Business Versus Crimes Committed by Business

Which do you believe presents the greatest threat to civil society: a corporation that commits crimes (e.g., murder, environmental crimes, or bribery, etc.), or persons who commit crimes that harm businesses (e.g., embezzlement, fraud, or larceny, etc.)? Guided Response:
Respond to at least two of your fellow students’ posts in a substantive manner. Some ways to do this include the following, though you may choose a different approach, providing your response is substantive:
Review the posts made by your peers.

In response to your peers, first identify a non-traditional or creative way in which a corporation might be punished for committing a crime. Then discuss the consequences of implementing that punishment to the example used by your peer.

ASHFORD BUS 670 Week 2 DQ 2 Product Liability

After viewing the Chinese Imports & Food Safety Video, consider whether U.S. retailers that utilize products or raw ingredients that are imported from China and that are poorly regulated should be liable in tort for injuries to consumers who are harmed by those products. Answer parts 1 and 2 of the following question:

1. Answer part a or part b

a. If U.S. companies should not be liable, then they could be legally exempt from tort liability. Discuss the consequences of such a policy to U.S. consumers.

b. If the U.S. companies should be liable, then those companies would not be legally exempt from tort liability. Discuss the consequences of such a policy to U.S. businesses.

2. Regardless of your response to part 1 of this question, assume that U.S. retailers do have legal liability for defective products. What steps could U.S. retailers and manufacturers take, when using products imported from China that would minimize their liability exposure? For example, they could warn consumers about the potential, though speculative, dangers when using products comprised of poorly regulated ingredients or components. Given your strategy, what challenges would exist for U.S. businesses that implemented your strategy?

Guided Response:
Respond to at least two of your fellow students’ postings in a substantive manner. Some ways to do this include the following, though you may choose a different approach, providing your response is substantive:

Elements of a Contract. The paper must be four to five pages, excluding the title page and references page(s), and formatted according to APA style as outlined in the Ashford Writing Center.

Address all of the following parts of this assignment:

Suppose that the Fabulous Hotel hires you as head chef under a two-year employment contract. After two years, another hotel wants to hire you. However, in the original employment contract you signed with the Fabulous Hotel, the following paragraph appears: “The below-signed agrees not to work as a chef for another hotel in the same metropolitan area for a period of two years after leaving our employ.”

Identify which elements of contract must exist for this agreement to be enforceable. At a minimum, your paper must include a detailed description of the concepts of offer, acceptance, legal consideration, capacity, and legality of purpose. Is this contract governed by common law or the UCC? Why? Discuss under which circumstances this non-compete agreement would be unenforceable.

The economy is structured on the freedom to draw up a contract with a system of laws that can be enforced.   Contracts that are freely entered into are not always read carefully by the signer. The signer may not be aware of the elements required to make the contract enforceable.  For example if the Fabulous Hotel hires you as head chef under a two year employment contract.  If you don’t read the contract carefully then you will not know that in the small print it says “The below signed agrees not to work as a chef for another hotel in the same metropolitan area for a period of two years after leaving our employ”. Therefore, you can’t work for another hotel in the same metropolitan area for two years there are several items that makes this contract enforceable (Seaquist, G. and Coulter, K.)

The shares may also be resold without restric¬tion by the initial purchaser. The offering will be made via the Internet.

Will the offering need to be registered with the Securities and Exchange Commission (SEC) under the Securities Act of 1933? Explain. Does your answer differ if “Shares in Learning” are issued by Private College, a proprietary for-profit institution that does business in all 50 states? Why?

Agree or disagree with your classmate’s posting. Posit facts that might change the outcome of the analysis.

ASHFORD BUS 670 Week 4 DQ 2 Antitrust Law

Review the AT&T Ends $39 Billion Bid for T-Mobile article.

In 2011, AT&T attempted a merger with T-Mobile. The Justice Department sued under the act, claiming that the merger would constitute a violation of the antitrust laws. In 2012, AT&T dropped its attempt at the acquisition.

Take a side and argue that an employer should or should not be permitted by law to discriminate against persons who are not attractive.
